Welcome to Grigio. These Terms of Service govern your use of our insurance and risk management platform for conversational AI systems. By accessing or using Grigio, you agree to be bound by these Terms.

2. Description of Service

Grigio provides active insurance and risk management services for organizations deploying voice and chat agents. Our platform helps protect your business from risks associated with AI systems, including but not limited to data incidents, system errors, and operational challenges.

Grigio operates as a secure, cloud-based service that processes information related to your insurance coverage and risk profile. We prioritize the confidentiality and security of your organizational data through industry-standard encryption and access controls.

3. User Accounts and Organizations

To access Grigio services, you will be required to create an account and may establish an organization. Organization administrators are responsible for managing user access, billing information, and organizational settings. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate and complete information when creating your account and organization. Organization owners are responsible for ensuring that all members comply with these Terms of Service.

4. Data Handling and Privacy

Grigio processes information related to your insurance coverage, risk assessments, and billing data to provide our services. Important commitments regarding your data:

• Your service data is securely stored and accessible only to authorized organization members and necessary insurance partners
• Your data is not used to train AI models or shared with third parties for training purposes without explicit consent
• Data is processed through secure, encrypted connections using industry-standard security protocols
• Organization administrators maintain control over user access and data visibility settings
• Billing and financial data is handled in accordance with PCI compliance standards where applicable
• You maintain control over your data in accordance with our privacy policy and applicable regulations

5. Acceptable Use

You agree to use Grigio only for lawful purposes and in accordance with these Terms. You agree not to use our service:

• In any way that violates any applicable local, national, or international law or regulation
• To submit false or misleading information in connection with insurance applications or claims
• To attempt to gain unauthorized access to other organizations' data or accounts
• To transmit or process any material that contains viruses or harmful code
• To infringe upon or violate the intellectual property rights of others or Grigio
• To engage in fraudulent activities or misrepresent coverage requirements
• To use the service for any unlawful commercial purposes
• To attempt to reverse engineer, modify, or interfere with Grigio's core functionality
• To resell or redistribute access to Grigio without explicit authorization

6. Insurance Coverage and Limitations

You acknowledge and understand that:

• Insurance coverage is subject to the specific terms, conditions, and exclusions outlined in your policy documents
• You are responsible for providing accurate and complete information when applying for coverage
• Coverage decisions and risk assessments are made based on information provided and industry standards
• Not all incidents or claims may be covered under your policy
• You should review your policy documents carefully and consult with insurance professionals as needed

7. Billing and Payments

Grigio operates on a subscription basis with billing based on your coverage plan and usage. Your organization is responsible for payment of all applicable fees, premiums, and charges based on your selected coverage.

• Premiums and fees are calculated based on your coverage level and risk profile
• You authorize us to charge your payment method for all applicable fees and premiums
• Invoices are issued according to your billing schedule and payment is due as specified in your agreement
• Refunds, if applicable, are subject to our refund policy and insurance regulations
• Price changes will be communicated in advance according to policy terms

8. Intellectual Property

Grigio and its original content, features, functionality, design, and technology are owned by Grigio and are protected by international copyright, trademark, and other intellectual property laws. Your use of Grigio does not grant you any ownership rights to the platform.

9. Third-Party Services and Integrations

Grigio works with various third-party services including insurance underwriters, reinsurers, and service providers to deliver our services. When we share data with third-party providers, we do so through secure, encrypted connections and under strict data processing agreements that comply with applicable regulations.

10. Data Security and Audit Logs

Grigio maintains detailed audit logs of significant actions within your organization, including user activity, policy changes, and billing transactions. These logs are maintained for security, compliance, and regulatory purposes. Organization administrators can access audit logs through the platform.

11. Termination

We may terminate or suspend your account and access to Grigio immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms or engage in fraudulent activity. Upon termination, your right to use Grigio ceases immediately.

12. Disclaimer of Warranties

Grigio provides its platform service on an "as is" and "as available" basis. We do not warrant that the service will be error-free, that access thereto will be continuous or uninterrupted, or that all data will be recoverable. While we use industry-standard security practices, we cannot guarantee absolute security or protection against all unauthorized access.

Insurance coverage is provided by licensed insurance carriers and is subject to the specific terms and conditions of your policy. The platform itself does not constitute insurance advice or guarantee coverage approval.

13. Limitation of Liability

In no event shall Grigio, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the platform; (ii) coverage decisions or risk assessments; (iii) any billing calculations or premium processing; (iv) any conduct or actions of other users; (v) any data obtained from the service; and (vi) unauthorized access, use or alteration of your transmissions or data, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage. This limitation of liability applies to the platform service and does not limit any liability under applicable insurance policies.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any significant changes by updating the "Last updated" date at the top of these Terms and, for material changes, by sending notification to registered account administrators.

16. Dispute Resolution

Any disputes arising from these Terms or your use of Grigio shall first be addressed through good-faith negotiation between the parties. If resolution cannot be reached, disputes shall be resolved through binding arbitration or legal action as permitted by law.
